Showcase currently operates two upscale home electronics stores in Scottsdale and Chandler, AZ, and is presently engaged in negotiations to acquire a third location. Showcase also operates home entertainment departments in The Great Indoors home design centers located in Scottsdale, AZ, and Dallas, TX, and expects to open one in Detroit, MI.

``We feel that Showcase Home Entertainment is a perfect fit for us and that it will serve as a model for potential future acquisitions. Our strategy is to consolidate, on a selective basis, the very high-end segment of the consumer electronics and custom installation business,'' states Peter Beshouri, chairman and chief executive officer of Sound Advice. ``Like Sound Advice, Showcase focuses on the upscale segment of the consumer electronics market, with an emphasis on custom designed and installed electronics, lighting and quality furniture. Mike Hagg, who remains as president of Showcase, and his management team, will continue to add stores in Arizona and future locations of The Great Indoors, with the support and resources of Sound Advice.''

The agreement in principle is subject to a number of conditions, including completion of due diligence and the execution of a definitive agreement.
